The THOR AdaptiveRisk Dynamic ETF (“THMR”) is an actively managed fund that employs a rules-based, multi-strategy investment framework designed to adapt to changing market conditions while prioritizing risk management. The Fund does not seek to replicate the performance of any index.

THMR follows a risk-first investment philosophy based on the premise that effective downside risk management is more critical to long-term capital appreciation than return forecasting. THMR aims to reduce the magnitude and length of drawdowns, thereby seeking to enhance long-term compounded returns through consistent portfolio behavior instead of fixed market exposure.

The Fund’s investment approach is implemented by the Sub-Adviser, Ai Alpha LLC, which allocates assets across a diversified set of investment strategies spanning equities, fixed income, commodities (including gold), and alternative assets. Portfolio construction begins with predefined risk constraints, and allocations are adjusted to attempt to keep overall portfolio risk within those limits across varying market environments.

Rather than maintaining static allocations or remaining fully invested at all times, the Fund continuously evaluates market conditions and portfolio risk. In favorable environments, the Fund seeks to participate in growth opportunities; during periods of heightened uncertainty or sustained market stress, it has the flexibility to allocate a significant portion of assets to cash, cash equivalents, or defensive instruments in an effort to preserve capital.

Academic Foundation and Research Collaboration

The Fund’s allocation framework is informed by academic research developed in collaboration with Professor Kumar Muthuraman of The University of Texas at Austin, whose work focuses on data-driven optimization, dynamic asset allocation, stochastic control and risk-aware portfolio construction.

The quantitative framework used for THMR utilizes data-driven optimization and dynamic asset allocation to systematically respond to market uncertainty without relying on discretionary judgment. This academic foundation is translated into a systematic portfolio management process designed to respond to evolving market conditions without relying on discretionary judgment or market predictions.

Competitive Strategy Allocation

The Fund employs a competitive allocation process in which multiple diversified investment strategies are evaluated relative to one another based on risk-adjusted performance. Strategies demonstrating stronger performance characteristics may receive increased allocations, while strategies exhibiting deteriorating performance or elevated risk may be reduced or removed.

This process is designed to allow capital to migrate toward strategies that are better aligned with prevailing market conditions while limiting prolonged exposure to underperforming strategies.

Adaptive Rebalancing and Risk Management

The Fund’s allocations are reviewed and adjusted on a pre-scheduled and recurring basis. Rebalancing decisions are driven by changes in market conditions, relative strategy performance, and portfolio risk characteristics. This adaptive approach is intended to help the Fund remain resilient across market cycles by emphasizing capital preservation during adverse conditions and participation during periods of opportunity

30 Day Bid/Ask - The median bid-ask spread (expressed as a percentage rounded to the nearest hundredth) is calculated by identifying the national best bid and national best offer ("NBBO") for each Fund as of the end of each 10 second interval during each trading day of the last 30 calendar days and dividing the difference between each such bid and offer by the midpoint of the NBBO. The median of those values is identified.
